14. DISPUTE RESOLUTION
Informal Negotiations
To resolve any dispute related to these Terms (“Dispute”), you and we agree to first try to negotiate informally for at least 180 days. Negotiations start when one party sends written notice to the other.
Binding Arbitration
If we can’t resolve the Dispute informally, it will be settled by binding arbitration under the American Arbitration Association’s (AAA) Commercial Arbitration Rules and, where applicable, Consumer Rules (available at www.adr.org). Arbitration may be in person, by document submission, phone, or online. The arbitrator’s decision is final and follows applicable law. Arbitration will take place in Delaware, USA, unless otherwise required. Court proceedings, if needed, will occur in Delaware state or federal courts. Disputes must be filed within one year of the issue arising. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act do not apply.
Restrictions
Arbitration is limited to individual Disputes, not class actions or group proceedings.
Exceptions
Disputes about intellectual property, theft, privacy, or injunctive relief are not subject to arbitration and may be handled in Delaware courts.
